Terms of service
These terms govern your use of DownlineAI. Please read them before you subscribe.
1. Who you are contracting with

2. What the service is
DownlineAI is software, sold as a monthly subscription. It gives you:
- a web application with recruitment pages you write yourself, a contact list and reporting;
- two AI assistants — a public one that talks to visitors on your pages, and a private one that helps you with your own work;
- optional metered "AI credits" for features billed per use.
The AI is a language model. Its output is generated text, it can be wrong, and it is not advice of any kind — legal, financial, medical or otherwise. You are responsible for anything you publish or send that the AI produced for you.
We are a software vendor. We are not a multi-level marketing company, we do not sell an income opportunity, we do not pay commissions on sales, and nothing we sell is a security or an investment.
3. Your account
You must be 18 or older and give accurate details. You are responsible for your password and for everything done through your account. Tell us at [CONTACT EMAIL — FILL IN AT ADMIN → LEGAL] if you think someone else has access.
4. Acceptable use
You may not use DownlineAI to:
- send unsolicited bulk messages, or contact anyone in a way that breaks the marketing and privacy laws that apply to them;
- impersonate anyone, including us, or present AI-generated text as the words of a real person who did not say them;
- publish anything unlawful, deceptive, harassing, obscene or infringing;
- collect personal data you have no lawful basis to collect, or feed personal data into the AI that you are not allowed to share with a processor;
- probe, scrape, overload or reverse-engineer the service, or resell access to it;
- circumvent metering, rate limits or plan restrictions.
5. No income claims — this one matters
Members write their own public recruitment pages and configure their own AI assistants. On any page, message, advertisement or AI configuration you create with DownlineAI, you must not:
- state or imply how much money anyone has earned, could earn or is likely to earn;
- show earnings screenshots, income disclosures, lifestyle claims, "results" figures or testimonials about money;
- promise, guarantee or forecast any financial outcome from DownlineAI or from any partner program;
- describe the referral credit described in section 6 as income, earnings, salary, commission or a return on investment.
This applies whether the words are yours or generated by the AI at your instruction. We may edit, unpublish or delete any page and suspend any account that breaks this section, without notice and without refund of the current month. We do this because income claims are unlawful in many places and because they are not true of this product.
6. Referral credit
If you invite someone directly and they pay for a subscription, you receive account credit:
- $10 for a Starter subscription, $30 for Growth, $80 for Scale, per paid invoice, at the rates in force at the time;
- one level only — you never receive credit on the referrals of people you referred;
- each credit is held for 30 days before it is applied, so that a refund, chargeback, voided or uncollectible invoice can reverse it;
- credit is applied to your own subscription and AI credits. It has no cash value, it is never paid out, transferred or exchanged, and it is not a commission;
- if the underlying payment is refunded, disputed, voided or written off, the credit is cancelled or debited back;
- unused credit is forfeited when your account is closed, by you or by us;
- we may change the rates or the hold period at any time; a change applies to credit earned after it takes effect.
Self-referral, and any scheme that creates accounts for the purpose of generating credit, voids the credit and may close every account involved.
7. Payment
Subscriptions are billed monthly in advance through Stripe. Prices are shown before you pay and exclude any tax that we are required to add. AI credits are bought in advance and consumed as you use the metered features. See our refund policy at /refunds.
8. Your content and your prospects' data
You keep ownership of what you write. You grant us the licence we need to host, display and process it in order to run the service. The people whose details you store in DownlineAI are your contacts: you decide what to collect and why, and you are the controller of that data. We process it on your instructions — see our privacy policy at /privacy.
9. Availability and changes
We may change, add or remove features. We try to keep the service available, but it is provided "as is" and we do not promise it will be uninterrupted or error-free. The AI depends on a third-party model backend and can be unavailable.
10. Suspension and termination
You may cancel at any time from your billing page; access continues to the end of the month you have paid for. We may suspend or close an account that breaks these terms, that we are required to close, or whose payment fails and is not fixed. On closure your pages stop being public and unused referral credit is forfeited.
11. Limitation of liability
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for lost profits, lost business, lost data or any indirect or consequential loss, and our total liability for any claim is limited to the amount you paid us in the twelve months before it arose.
12. Governing law
These terms are governed by the law of [COUNTRY OF ESTABLISHMENT — FILL IN AT ADMIN → LEGAL], and the courts there have jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country you live in.
13. Changes to these terms
We will post any change on this page. If a change materially affects you we will tell you in the application before it takes effect. Continuing to use DownlineAI after that means you accept it.
